Terms of Use

These Terms of Use ("Terms") govern your access to and use of the Edgeseeker API ("API"), website, and related services (collectively, the "Service") operated by Edgeseeker ("we", "us", or "our"). By registering for an API key or using the Service, you agree to be bound by these Terms in full. If you do not agree, do not use the Service.

1. Data accuracy disclaimer

All data provided through the Edgeseeker API is sourced from publicly available SEC EDGAR filings and is processed on a best-efforts basis. We make no representations or warranties, express or implied, regarding:

• The accuracy, completeness, or reliability of any data point
• The timeliness or currency of any data
• The fitness of the data for any particular purpose
• The absence of errors, omissions, or inaccuracies in the data

Data may contain errors resulting from source filing errors, processing errors, or normalization artifacts. Always independently verify critical data before making any financial decision.

2. Not investment advice

The Edgeseeker API provides raw financial data only. Nothing provided through the Service constitutes investment advice, financial advice, trading advice, or any other form of professional advice. Edgeseeker is not a registered investment advisor, broker-dealer, or financial planner. You should consult a qualified financial professional before making any investment decisions.

Use of Edgeseeker data for investment purposes is entirely at your own risk. Edgeseeker and its operators expressly disclaim all liability for any investment losses, trading losses, or financial damages arising from your use of the Service.

Free tier

The free tier permits personal use, academic research, and internal business use. "Internal business use" means private tools, dashboards, and applications used within your organization that are not accessible to the general public. Free tier data may not be displayed on any public-facing website, application, report, or product of any kind.

Pro tier

The Pro tier permits all free tier uses plus public display of Edgeseeker data, subject to the attribution requirements in Section 4. Pro tier access is free — contact us at edgeseeker.api@gmail.com to request access.

4. Attribution requirements (Pro tier)

Pro tier users must display visible attribution on every public-facing page, screen, report, or product that displays Edgeseeker data. Attribution must:

• Include the text "Powered by Edgeseeker"
• Link to https://edgeseeker.com
• Be visible to end users without scrolling or interaction
• Be displayed at a minimum font size of 11px
• Not be hidden, obscured, or styled to be deliberately unreadable

Attribution widget (recommended)

The easiest way to comply is to use the Edgeseeker attribution widget. Add one line of code to any page where data is displayed:

5. Prohibited uses

You may not use the Service to:

• Display data publicly without Pro tier access and required attribution
• Resell, redistribute, or sublicense Edgeseeker data to third parties
• Build a competing financial data product or API
• Scrape or bulk-download data beyond your authorized rate limit
• Circumvent or attempt to circumvent rate limits or access controls
• Share your API key with other users or organizations
• Make automated registrations to obtain multiple API keys
• Use the data in any way that violates applicable laws or regulations

6. API key usage

Your API key is personal and non-transferable. Do not share your API key with other individuals or organizations. You are responsible for all activity that occurs under your API key. If you believe your key has been compromised, contact us immediately at edgeseeker.api@gmail.com to have it deactivated and reissued.

7. Rate limits and fair use

API usage is subject to the rate limits of your tier. Rate limits reset at midnight UTC daily. Attempts to circumvent rate limits — including registering multiple accounts, rotating API keys, or using proxies to exceed limits — are a violation of these Terms and may result in permanent suspension of access.

8. Limitation of liability

To the maximum extent permitted by applicable law, Edgeseeker and its operators shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from:

• Your use of or inability to use the Service
• Any inaccuracy, error, or omission in the data
• Any investment or financial decision made using the data
• Any interruption, suspension, or termination of the Service
• Any unauthorized access to or alteration of your data

In no event shall Edgeseeker's total liability to you exceed the amount you paid for the Service in the twelve months preceding the claim (which, for free and Pro tier users, is zero).

9. Indemnification

You agree to indemnify and hold harmless Edgeseeker and its operators from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

10. Service availability

We make no guarantee of uptime, availability, or continuity of the Service. We reserve the right to modify, suspend, or discontinue the Service at any time without notice. We are not liable for any damages resulting from service interruptions.

11. Termination

We reserve the right to suspend or terminate your API key at any time for violation of these Terms, abuse of the Service, or for any other reason at our sole discretion. You may terminate your account at any time by contacting us at edgeseeker.api@gmail.com.

12. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated to registered users via email with reasonable notice. Continued use of the Service after changes take effect constitutes your acceptance of the updated Terms.

13. Governing law

These Terms are governed by the laws of the State of Connecticut, United States, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts of Connecticut.
